Acceptance of Terms
By accessing or using Zajel AI's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services. These terms constitute a legally binding agreement between you and Zajel AI.
Services Description
Zajel AI provides artificial intelligence consulting, development, and implementation services for businesses. Our services include but are not limited to: conversational AI and data chat solutions, data automation and workflow integration, business intelligence dashboards and reporting, web and mobile application development, ERP and HRIS systems, CRM tools, and intelligent call systems. The specific scope, deliverables, and timeline for each project will be defined in a separate Statement of Work (SOW) or service agreement.
Client Obligations
As a client, you agree to provide accurate and complete information necessary for us to deliver our services; cooperate with our team and provide timely feedback and approvals; ensure that you have all necessary rights and permissions for any data, content, or materials you provide to us; comply with all applicable laws and regulations in your use of our services; and make timely payments as agreed in the SOW or service agreement.
Intellectual Property
You retain all ownership rights to your data, content, and materials that you provide to us. Upon full payment, you will own the custom software, applications, and deliverables created specifically for you as outlined in the SOW. Zajel AI retains ownership of our proprietary methodologies, frameworks, tools, and any pre-existing intellectual property. We may use anonymized and aggregated data from projects to improve our services and create general insights, provided such use does not identify you or disclose confidential information.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of our engagement. This includes business strategies, data, technical information, and any information marked as confidential. We will not disclose your confidential information to third parties without your prior written consent, except as required by law or to our service providers who are bound by similar confidentiality obligations.
Limitation of Liability
To the maximum extent permitted by law, Zajel AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or relating to our services. Our total liability for any claims arising from our services shall not exceed the amount paid by you to Zajel AI in the six months preceding the claim. Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.
Termination
Either party may terminate an ongoing project or service agreement by providing written notice as specified in the SOW, typically 30 days. Upon termination, you agree to pay for all services performed and expenses incurred up to the termination date. Sections of these Terms that by their nature should survive termination, including confidentiality, intellectual property, and limitation of liability provisions, shall remain in effect.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Arab Republic of Egypt, as applicable based on the location of service delivery, without regard to conflict of law principles. Any disputes arising from these terms or our services shall be resolved through good faith negotiation or, if necessary, through arbitration in accordance with the rules of the applicable jurisdiction.
